1. Introduction

Welcome to PodGuest ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the PodGuest platform, including our website, mobile applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Platform Description

PodGuest is a marketplace platform that connects podcast fans ("Listeners" or "Guests") with podcasters ("Hosts") for exclusive access to live podcast recording sessions. The platform enables:

• Hosts to list and sell tickets to live podcast recording sessions
• Listeners to purchase tickets through fixed-price sales or auctions
• Both in-person and virtual event attendance
• Secure payment processing through our payment partners

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Types

The Service offers different account types including Listener accounts and Host accounts. Each account type has specific features and responsibilities as described in our documentation.

4. Purchases and Payments

4.1 Ticket Purchases

When you purchase a ticket through PodGuest, you are entering into a transaction with the Host of that event. PodGuest facilitates this transaction but is not the seller of the ticket.

4.2 Pricing and Fees

All prices are displayed in Euros (€) unless otherwise specified. A platform service fee may be added to your purchase. The total price, including any fees, will be clearly displayed before you complete your purchase.

4.3 Auctions

For auction events, placing a bid constitutes a binding offer to purchase the ticket at the bid amount. If you are the winning bidder, you are obligated to complete the purchase. Bid amounts are in Euros and include applicable fees.

4.4 Payment Processing

Payments are processed through our third-party payment processor, Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your complete payment card information on our servers.

5. Refunds and Cancellations

5.1 Event Cancellations by Host

If a Host cancels an event, you will receive a full refund of your purchase price, including any platform fees. Refunds will be processed to your original payment method within 5-10 business days.

5.2 Cancellations by Listener

Refund policies for listener cancellations are set by individual Hosts and will be displayed on the event listing. Please review the refund policy before making a purchase.

5.3 No-Shows

If you purchase a ticket and fail to attend the event without prior cancellation, you may not be entitled to a refund. Please contact the Host or our support team if you cannot attend an event.

6. Host Responsibilities

If you are a Host on PodGuest, you agree to:

• Provide accurate information about your events
• Honor all ticket purchases and deliver the experience as described
• Communicate promptly with ticket holders regarding any changes
• Comply with all applicable laws and regulations
• Complete the payment onboarding process to receive payouts

PodGuest reserves the right to remove events or suspend Host accounts that violate these Terms or our community guidelines.

7. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated means to access the Service without permission
• Engage in any harassing, abusive, or discriminatory behavior
• Post false, misleading, or fraudulent content
• Resell tickets without authorization

8. Intellectual Property

The Service and its original content, features, and functionality are owned by PodGuest and are protected by international copyright, trademark, and other intellectual property laws.

Content uploaded by users remains the property of the respective users, but by posting content on PodGuest, you grant us a non-exclusive license to use, display, and distribute such content in connection with the Service.

9. Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and share your personal information. By using the Service, you agree to our collection and use of information as described in the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF HOSTS OR LISTENERS, THE QUALITY OF EVENTS, OR ANY DISPUTES BETWEEN USERS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PODGUEST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.
